RESOLUTIONS OF THE DIRECTORS OF TECHTREX INC.
WHEREAS bill S-211 - the Fighting Against Forced Labour and Child Labour in
Supply Chains Act (the “Act”) received royal assent on May 11, 2023;
AND WHEREAS, pursuant to the provisions of the Act, the Corporation is
required to file the Modern Slavery Statement (the “Statement”), in the form appended to these
resolutions as Appendix A, with the Government of Canada on an annual basis;
AND WHEREAS, pursuant to the provisions of the Act, an officer or director of
the Corporation must attest to the completeness, accuracy and truth of the Statement and append
such attestation (the “Attestation”) to the Statement;
NOW, THEREFORE, BE IT RESOLVED that:
1. The Statement, in the form appended to these resolutions as Appendix A, is
hereby approved by the Board of Directors of the Corporation.
2. Charles Lee, the President of the Corporation, is hereby authorized and
directed to complete and sign the Attestation included in the Statement and the Attestation is
hereby ratified, approved and confirmed.
3. Any one officer or director of the Corporation acting alone is hereby
authorized to take any further action as necessary, in his or her sole discretion, to comply with the
Corporation’s obligations under the Act.
THE UNDERSIGNED, being all of the directors of the Corporation entitled to
vote on the foregoing resolutions at a meeting of directors, sign and pass the foregoing resolutions
in accordance with the provisions of the Business Corporations Act (Ontario).

APPENDIX A – REPORT
Annual Report re: Steps Taken to Prevent and Reduce the Risk of
Forced Labour and Child Labour in Supply Chains
This report has been prepared by TechTrex Inc. under the Fighting Against Forced
Labour and Child Labour in Supply Chains Act, S.C. 2023, c. 9 (the “Act”) for the financial
reporting year ended December 31, 2024.
1. Overview
As per Section 11(1) of the Act, we are committed to upholding ethical standards in our
operations and supply chain. During the previous financial year, while we do not have established
policies specifically addressing forced labour or child labour, we maintain a strict stance on
employment practices.
In North America, we ensure compliance with legal regulations by not employing
individuals under the age of 18. Similarly, in our operations in China, where we recognize the
particular sensitivity surrounding labour practices, we do not hire anyone under the age of 20.
However, it is important to note that detailed information regarding the identification of risks
and the implementation of specific measures to prevent and reduce the risk of forced labour or
child labour was not available for this reporting period. While this process is a priority for us, it
has not yet been initiated within the scope of this reporting period.
We remain committed to continuous improvement and transparency in our efforts to combat
forced labour and child labour throughout our operations and supply chain.
2. Structure, Activities and Supply Chains
TechTrex: Sole ownership, import and export payment solution, vending machines,
procurement from China, Vietnam, Canada, USA.
KioSoft: Sole ownership, deployment and after-sales support, no hardware procurement.
3. Policies and Due Diligence Processes
Per Section 11(3)(b) of the Act, no specific policies or due diligence processes have been
established by our entity regarding forced labour and child labour during the reporting period.
We are committed to reviewing our practices and exploring the establishment of relevant
policies and due diligence processes in future periods to address these critical issues effectively
where needed.
4. Risk Assessment and Management
Per Section 11(3)(c) of the Act, we acknowledge the importance of identifying and
mitigating risks of forced labour or child labour within our business and supply chains. However,
for this reporting period, we have not initiated the risk assessment process. As such, detailed
information regarding specific parts of our business and supply chains that may carry a risk offorced labour or child labour, as well as the steps taken to assess and manage those risks, is not
available at this time.
5. Remediation Measures
Per Section 11(3)(d) of the Act:
For this reporting period, we have not taken any remediation measures concerning forced
labour or child labour within our business or supply chains.
Per Section 11(3)(e) of the Act:
Similarly, we have not undertaken any measures to remediate the loss of income to the
most vulnerable families resulting from efforts to eliminate the use of forced labour or child
labour in our activities and supply chains during this reporting period.
6. Employee Training
Per Section 11(3)(f) of the Act, for this reporting period, no specific training on forced
labour and child labour has been provided to employees.
While acknowledging the importance of such training in promoting awareness and
adherence to ethical labour practices, it has not been incorporated into our practices during this
period.
7. Effectiveness Assessment
Per Section 11(3)(g) of the Act, no actions have been taken to assess the effectiveness of
our measures in preventing and reducing the risks of forced labour and child labour in our activities
and supply chains.
While we recognize the importance of such assessments in ensuring compliance with
ethical standards and legal regulations, specific measures to evaluate our effectiveness in this
regard have not been undertaken during this reporting period.
Attestation
In accordance with the requirements of the Act, and in particular Section 11 thereof, I
attest that I have reviewed the information contained in the report for TechTrex Inc. Based on
my knowledge, and having exercised reasonable diligence, I attest that the information in the
report is true, accurate and complete in all material respects for the purposes of the Act, for the
reporting year listed above.
